Tempodeantena.com/.pt/.net respects and safeguards the privacy of every individual who visits our website. This Privacy Statement is a formal document that outlines the information which may be collected about you while you use the Tempo de Antena Network, and how that information may be used. This Statement will also instruct you on what to do if you do not want your personal information collected or shared when you visit the Tempodeantena.com/pt/net website

The Tempo de Antena Network will not collect any personally-identifiable information about you (including, but not limited to, your name, address, telephone number, email address, Social Security number, Bank account or credit card information, or any combination of data that could be used to identify you, such as birth date, zip code, and gender) unless you provide it to us voluntarily or authorize our access to it.

Because Tempo de Antena is an e-commerce-driven web-conferencing platform, the company's services are directed to adults who possess validated credit-card information, and are never marketed to individuals under the age of 18. Tempo de Antena' registered "video chathosts" host chatrooms under a potentially infinite number of different categories, ranging from how/to instruction to adult-oriented topics. Certain portions of Tempo de Antena which may contain content considered offensive to some, are inaccessible to individuals under the age of 18 via a standard "credit-card" wall, as advocated by the Communications Decency Act. For those portions which may be accessible to individuals under the age of 18, such as the Tempo de Antena home page and other areas presenting non-offensive content, Tempo de Antena has no intention of collecting any personally-identifiable information (that is, name, address, telephone number, or email address) from individuals under eighteen years of age. Tempodeantena.com does not typically provide cash refunds unless extraordinary circumstances apply; we do, however, grant credits in the form of free time and/or coupons for premium services. We also provide discounts and/or credits in the event you experience technical difficulties that you demonstrate to have made a sincere effort to resolve. Tempodeantena.com adheres to a very liberal "Customer is always Right" policy and will undertake almost any action necessary to ensure that no customer ever has an unsatisfactory experience on the service. Cash credits are therefore issued on a discretionary basis only. This is a NO-REFUNDS policy. All sales are final.

Access to most areas of the Tempodeantena.com platform is entirely free, and the vast majority of all system usage occurs in the free areas of Tempodeantena.com without any charge or obligation. For example, Tempodeantena.com assesses no fees or charges for access to the Tempodeantena.com Archive Explorer, free live guest videochat, bulletin boards, profiles, and all other free members-only services. Optional premium services are clearly marked, bear prominent and conspicuous disclosures, and you must affirmatively agree to such premium services before being charged.

1. TERMS OF SERVICE AGREEMENT AND RULES OF THE ROAD

a.Tempodeantena.com Network ("TA") provides its Tempodeantena.com service ("TA") to you as a registered subscriber or authorized user ("Member" or "you"), subject to the terms of this agreement and TA's operating rules or the "Rules of the Road" ("Rules"). Both of these documents are binding agreements and we shall refer to them collectively as "TOS". The TOS comprises the entire agreement between TA and you, superseding any prior agreements between you and TA with respect to its subject matter. Additionally, you may be subject to additional terms and conditions that may apply when you use affiliate services (e.g., the International Areas), third-party content, software, or services

b.TA may change the TOS at any time, subject to timely notice, posted publicly in a visible manner. You agree to review the TOS periodically to be aware of such changes. If any change is unacceptable to you, you may terminate your membership as provided in "Cancellation" below, or in Section 10 below. Your continued use of TA following the Effective Date of any such change to the TOS constitutes acceptance of all such changes

2. YOUR ACCOUNT INFORMATION

a.You certify that YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD. You agree to provide TA with accurate, complete, and current registration information. Failure to do this shall constitute a breach of this agreement and unauthorized access to TA. Unauthorized access to TA could result in immediate termination of your account and subject you to civil and criminal liability. Unless you have prior written authorization from TA, you may not register for additional accounts after such termination..

b. Upon registering as a Member, you will choose a password and a screen name/chat handle. You may not select or use a screen name of another person (unless it is also your name) a name in violation of a third party's property rights, or a screen name that TA deems offensive or otherwise inappropriate. TA owns all screen names and licenses them to you. You expressly authorize TA to use and disclose your password, screen name/chat handle and/or account information with and to third parties, to ensure the protection of TA's rights or property. Additionally, you may not use your screen name in violation of the TOS or in ways TA deems inappropriate (e.g., sending or causing to be sent mass e-mail solicitations). TA reserves the right to delete any such screen name or to request deletion

c. You are entirely liable for all activities conducted through your account. A Member may not permit another individual to use the Members account without direct supervision by the Member.

d. Members who have had their TA membership terminated may not access TA without TA's prior express written (including e-mail) permission. Members may not allow a former Member or other agent whose membership has been terminated to use their account. For additional information on re-registration and multiple accounts, see Section 10 below..

3. CHARGES AND BILLING PRACTICES

a.There is no fee for basic membership to TA. However, you may be subject to internet access charges as required by your local or national Internet Service Carrier/Provider. Certain fee-only video chathosts may set a price and terms that governs and restricts access to their respective videochat. Customers may avoid charges entirely by choosing to limit their interactions with fee-only video chathosts to a free guest-only videochat interface and to avoid other fee-based areas of the service. However, fee-based videochats in which you interact via the text/video chat interface will incur charges to you at the rate set by the Video Chathost. (Per-minute prices are tabulated by the minute and rounded to the next whole minute.) These fees are prominently disclosed to you prior to your willing entrance into the fee-based video chat interface

b. You are responsible for all charges associated with connecting to TA. You agree that any charges incurred to access the Internet, including but not necessarily limited to telephone charges and access fees billed by your Internet Service Provider, are entirely your responsibility. Depending on your particular location and chosen Internet Service Provider, you may be subject to long distance charges and/or other communication surcharges, which are your responsibility.

4. RIGHTS AND RESPONSABILITIES

a. Contents. You acknowledge that: (i) TA contains information, communications, software, photos, videos, graphics, music, sounds, and other material and services (collectively "Content"); (ii) Such Content is provided under license by Independent Providers of Content ("ICPs"), other Members, TA and its affiliates; and (iii) At minimum, TA owns a copyright in the selection, coordination, arrangement, and enhancement of such Content. Each Member and any user of Members account must evaluate, and bear the risk associated with any reliance on the accuracy, completeness or usefulness of any Content. TA does not pre-screen Content as a matter of policy: however TA, its affiliates, and ICPs shall have the right, but not the responsibility, to remove Content that they deem harmful, offensive or otherwise in violation of the TOS. Accordingly, you acknowledge that neither TA, its affiliates, nor any ICP shall assume or have any liability for any action or inaction by TA or its affiliates, or any ICP, with respect to Content, or Content changes within, TA

b. Proprietary rights You acknowledge the following: (i) TA permits access to Content that is protected by copyrights, trademarks, and other intellectual and proprietary rights ("Rights"); (ii) These Rights are valid and protected in all media and technologies existing now or later developed; and (iii)Except as explicitly provided otherwise, the TOS, applicable copyright and other laws govern your use of Content (see the Rules, Section D, for details). You agree that you may upload to the software files, message boards, or otherwise transmit on or through TA only Content that (1) is not subject to any Rights, or (2) any holder of Rights has given express authorization for distribution on TA. You represent that if you upload any files, you have the legal authorization to do so. You agree that TA may employ virus-checking technology to protect its system and its members from viruses. By submitting Content to any "public area" of TA (e.g., message boards, forums, the Member Directory), you grant TA and its affiliates the royalty-free, perpetual, irrevocable, non-exclusive right (including any moral rights) and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the Content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media or technology now known or later developed, for the full term of any rights that may exist in such Content. You also warrant that the holder of any Rights, including moral rights in such Content, has completely and effectively waived all such Rights and validly and irrevocably granted to you the right to grant the license stated above. You also permit any Member and authorized user to access, display, view, store and reproduce the Content for personal use. Subject to the foregoing, the owner of Content placed on TA retains any and all Rights that may exist in such Content

c. Conduct and Communication .You acknowledge that TA may contain material that may be inappropriate for minors. You recognize that communication over TA often occurs in real time or is posted on one of TA`s message boards or chatrooms. You acknowledge that TA cannot, and does not intend to, screen communication in advance for accuracy or conformance to the TOS or any laws. However, TA may elect, at its sole discretion, to monitor some, all, or none of TA`s public areas for adherence to the TOS. Accordingly, you acknowledge that neither TA, its affiliates, nor any ICP shall assume or have any liability for any action or inaction by TA, its affiliates, or any ICP with respect to Content on TA. Any conduct by a Member that in TA's sole discretion restricts or inhibits any other Member, person or entity from using or enjoying TA or another service shall entitle TA to immediately terminate membership without notice. You agree to use TA only for lawful purposes. You may not use, or allow others to use, your TA account, either directly or indirectly, to: (1) post, transmit, or promote any unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, racially, ethnically or otherwise objectionable Content; (2) harass, threaten, embarrass, or cause distress, unwanted attention or discomfort upon another Member or user of TA or other person or entity; (3) post, transmit, promote, link, or facilitate the distribution of content that may generally be considered obscene, including, but not necessarily limited to, bestiality, urination/defecation, fisting, incest, extreme sado-masochism or bondage presented in a sexual context, or any presentation of minors engaged in intimate physical contact or sexual situations, acted or depicted. (4) disrupt the normal flow of dialogue in a chatroom or on a message board or otherwise act in a manner that negatively affects other Members, users, individuals or entities, such as causing the screen to "scroll" faster than other Members or users are able to type to it or any action to a similar disruptive effect; (5) impersonate any person or entity, including, but not limited to, an TA official, an ICP, forum leader, guide or host, or communicate under a false name or a name that you are not entitled or authorized to use, or impersonate a minor; (6) post or transmit, or cause to be posted or transmitted, chain letters or pyramid schemes; (7) post or transmit, or cause to be posted or transmitted, any unsolicited advertising, promotional materials, or other forms of solicitation to other Members, individuals or entities (although Contributors may use the Tempodeantena.com E-mail System to advertise current or upcoming sessions to their previous viewers who have not requested to be removed from their mailing lists), or collect or harvest screen names of other Members, without permission; (8) post or transmit, or cause to be posted or transmitted, any communication or solicitation designed or intended to obtain password, account, or private financial information from any Member; (9) violate any operating rules, policies or guidelines of any other interactive service, including, but not limited to, the operating policies of the International Areas; or (10) intentionally or unintentionally violate any applicable local, state, national, international or foreign law, including, but not limited to, any rules or regulations having the force of law. Please see the Rules for additional examples of prohibited conduct. TA reserves the right to protect its Members and TA from offensive e-mail communication, including, but not limited to, the right to block mass e-mail solicitations, or "junk e-mail." You also agree and accept that as new products become available on or through TA, your use of these products is subject to TOS. In addition to Content and services provided by ICPs, TA, and its affiliates, others may offer Content, software or other services to Members with their own terms and conditions relating to your use. Failure to abide by these terms and conditions may result in termination of membership. Furthermore, other such networks, including Internet areas, may subject Members to their own usage policies.
5. PRIVACY POLICY

Introduction

1. General
General. The following presents important information relating to Tempodeantena.com' comprehensive Privacy Policy. Because protecting your privacy is very important to TA, we have established a privacy policy that safeguards your personal information, and are committed to protecting its confidentiality. We will limit the collection and use of personal information, or Individual Information (as defined herein), to what is necessary to administer our business, provide you with the highest quality service, and offer you opportunities we think will be of interest. We will NOT disclose any Individual Information unless we believe that such action is necessary to comply with applicable law or valid legal process (including without limitation search warrants, court orders, or providing assistance to law-enforcement authorities investigating the alleged commission of a crime), or if the disclosure of Individual Information to a credit-card bank may help us prove the legitimacy of a credit-card charge or bill. We actively participate in industry associations and community groups to support strong and effective privacy guidelines and practices in the interactive environment

2.Types of Individual Information
Individual Information is any information, data or records that relate to your TA membership or use of TA and identifies you or your individual Member account. The three types of Individual Information are; (1) "identity and billing information," including without limitation your name, street address, telephone number, billing information, and any account information associated with your screen names; (2) "navigational and transactional information," including without limitation information about where you go or what you buy through TA; (3) "private communications," including without limitation the contents of e-mail, or private chat room communications.

a. Member identity and billing information.

1. Collecting and storage
We maintain various types of identity and billing information, including without limitation, your name, street address, telephone number(s), length of membership, and payment information. We may also keep information on your communications with our Customer Service department and chathosts, and general account history, such as accumulated usage credits or written complaints relating to your account. We safeguard Individual Information from unauthorized access and only authorized employees or agents who need to carry out legitimate business functions are permitted access to Members Individual Information. Employees who violate TA`s privacy policies are subject to disciplinary actions, including termination when appropriate. We may use agents, who are bound by strict confidentiality guidelines, to perform storage, processing, and other limited functions on TA`s behalf.

2. Use
We use identity and billing information to administer our business, ensure that you are properly billed and to communicate with you if the need arises

3. Disclosure
Our policy is not to disclose identity and billing information to third parties, unless required to do so by applicable law or valid legal process (including without limitation search warrants, court orders or providing assistance to law-enforcement authorities investigating the alleged commission of a crime). TA, at its sole discretion, reserves the right to make exceptions to this policy in extraordinary circumstances (including without limitation a bomb or suicide threat, or instances of suspected illegal activity) on a case-by-case basis. When feasible, we do allow our Members to access and verify their Member Identity and Billing Information. We also allow our Members to request corrections to this Information. TA intends to abide by applicable laws governing the disclosure to governmental entities of Individual Information and other records. If we are under a legal obligation to disclose Individual Information to a private citizen or entity, we may make efforts under the circumstances to notify the affected Member(s) in advance of releasing it in order to provide the Member(s) an opportunity to pursue any available legal protection.

b. Navigational and transactional information.

1. Collection
We may collect and store certain navigational and transactional information, such as data on the choices you make from the range of available services, and the times and ways you use TA.

2. Use
TA uses navigational and transactional information to personalize TA and for programming and editorial research. For example, we may use this information to understand our Members reactions to menu items, Content, and services offered through TA and to customize TA based on our Members interests.

3. Disclosure
TA will not disclose to third parties navigational or transactional information (e.g. what you view through TA), except to comply with applicable law or valid legal process (including without limitation search warrant, court order, or providing assistance to law-enforcement authorities investigating the alleged commission of a crime).

c. Private communications

1. Collection and storage
The TA computer system does record and retain all chat room communications. However, to keep copies of any communications, you should store them on your personal computer hard drive or in print form. You agree that TA may employ e-mail virus-checking technology to protect its system and its members from viruses.

2. Use
TA treats private communications on or through TA as strictly confidential. TA does not access, use or disclose the contents of private communications, except in limited circumstances as specifically provided herein. You acknowledge that private communications directed at a person or entity, including TA, may be used or disclosed by the intended recipient(s) without restrictions relating to privacy or confidentiality

3. Disclosure
TA does not access or disclose the contents of private communications (e.g. e-mail, Member-created private rooms, online communications), unless it in good faith believes that such action is necessary (1) to comply with applicable law or valid legal process (including without limitation search warrants, court orders or providing assistance to law-enforcement authorities investigating the alleged commission of a crime); (2) to protect the rights or property of TA; or (3) in emergencies when TA believes that physical safety is at risk. TA reserves the right to treat as public any private chat room whose directory or room name is published or becomes generally known or available

6. INTERNATIONAL CONTENT

You acknowledge that your use of TA allows access to content originating from TA and its affiliates, other Members and users of TA, ICPs, as well as other third parties which may originate from countries other than Portugal ("International Content"). Your access to and use of the International Areas and International Content will be governed (in addition to the TOS) by separate terms and operating policies and applicable national laws and customs

7. TA SOFTWARE LICENCES

TA grants to you a non-exclusive, limited license to use TA software to transmit your personal video signal to TA from authorized locations in accordance with this agreement. This license is subject to the restriction that, except where expressly permitted by law, you may not translate, reverse-engineer or reverse-compile or decompile, disassemble or make derivative works from, TA software. You may not modify TA software or use it in any way not expressly authorized in these Rules. You agree and accept that TAs introduction of various technologies may not be consistent across all platforms (e.g. Macintosh).
8. SERVICE WARRANTIES

MEMBER EXPRESSLY AGREES THAT THE USE OF TA AND TA SOFTWARE ARE AT MEMBERS SOLE RISK. TA, TA SOFTWARE, AND TA PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR PERSONAL USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, UNLESS SUCH WARRANTIES ARE LEGALLY INCAPABLE OF EXCLUSION. TA PROVIDES THE TA SERVICE ON A COMMERCIALLY REASONABLE BASIS AND DOES NOT GUARANTEE THAT MEMBERS WILL BE ABLE TO ACCESS THE SERVICE AT A TIME OR LOCATION OF THEIR CHOOSING, OR THAT IT WILL HAVE ADEQUATE CAPACITY FOR THE SERVICE AS A WHOLE OR FOR PARTICULAR PRODUCTS. TA`s ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO USE OF TA, TA SOFTWARE, AND THE INTERNET SHALL BE THE REPLACEMENT OF ANY TA SOFTWARE FOUND TO BE DEFECTIVE. BECAUSE SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OR JURISDICTIONS, TA`s LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW. TA DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCT OR SERVICE OFFERED THROUGH TA, EXCEPT AS EXPRESSLY PROVIDED ELSEWHERE, AND WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES
9. INDEMNIFICATIONS

Upon TA`s request, Member agrees to defend, indemnify and hold harmless TA, its affiliated companies, its employees, contractors, officers, directors, telecommunications providers, ICPs from all liabilities, claims and expenses, including attorneys fees, that arise from breach of the TOS by use of, or in connection with, the transmission of any Content on TA or the Internet by or through Members accounts. TA reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by Member hereunder. In such event, Member shall have no further obligation to provide indemnification for such matter.

 
10. TERMINATION

a.Either you or TA may terminate your membership at any time. This is your sole right and remedy with respect to any dissatisfaction with TA, including, but not limited to, (1) any TOS term, policy or practice of TA in operating TA, (2) Content available through TA or change therein, or (3) any amount or type of fees, surcharges, billing methods, or change therein. You can terminate your membership by delivering notice to TA's Customer Service Department by any reasonable method, including the following: e-mail ajudacliente(at)tempodeantena.com , Snail Mail: Tempo de Antena, Ltd - Av. Republica nr 49, 4º andar sala 401, 1050-188 Lisboa, Portugal or by phone: (+351) 21 794 01 02 . To ensure effective cancellation, please provide your TA screenname.Your termination will take effect immediately upon TA's receipt of your adequate notice as described above.
b.In the event that your account is terminated or canceled, no refund, including any membership fees, will be granted; no online time or other credits will be credited to you or can be converted to cash or other form of reimbursement. Active TA Members may not allow former Members or other agents whose memberships have been terminated to use their accounts. Any delinquent or unpaid accounts or accounts with unresolved issues with the Customer Service department or other TA departments must be concluded before you may re-register with TA. Members using multiple accounts without prior express written permission from TA shall have their membership terminated.

11. THE LAW

a. To the extent any conflict between this agreement and the Rules exists, this agreement shall take precedence. If any part of the TOS is held invalid or unenforceable, that portion shall be construed consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions remain in full force and effect. The laws of Portugal (EU) govern the TOS and your membership. As noted above, Member conduct may be subject to other local, state, and national laws. Member expressly agrees that exclusive jurisdiction for any claim or dispute resides in the courts of Portugal (EU). Member further agrees and expressly consents to the exercise of personal jurisdiction in Portugal (EU) in connection with any dispute or claim involving TA.

Considering the use of bulk email, bulk newsgroup postings, unsolicited AOL/ICQ "instant messages", or other "dirty tricks" to promote Tempodeantena.com/net/pt sites ? In a word, DON'T. Tempodeantena.com has a strict ZERO-TOLERANCE anti-spam policy. Tempodeantena.com does not, and will not, honour any traffic or referrals that result from so-called "SPAM" activities, including UCE, newsgroup postings, IM spam, and other abusive tactics. In fact, if Tempodeantena.com observes your use of such tactics to promote its sites, not only will we terminate your account, suspend all credits, and add your account information to a well-circulated "black list", we will also notify your ISP and upstream carriers of your violation of those firms' acceptable-use policies (AUPs). Chathost Licence Agreement

Definitions

1. "Chathost Representative" refers to the third party expressly stated below, who is the payee for the revenue checks sent by Tempodeantena.com for the Video Chathost’s content, services and/or Productions provided herein. (A Video Chathost is not required to work with a Chathost Representative to create content and distribute the Productions, but, if a Video Chathost is working with a Chathost Representative, that Chathost Representative will receive the revenue checks and will be solely responsible for any and all payments to You.)

2. "Interactive Computer Service" refers to the information service, system or access software offered via Tempodeantena.com, or any other interactive computer service controlled, operated, managed or run by Tempo de Antena, Ltd, that provides or enables computer access by multiple users to a computer server.

3. "Point-to-Point Communications Session" refers to the communications that You engage in with others and/or the content that You and/or Your Chathost Representative produce via the Interactive Computer Services, including without limitation the Productions; these communications and content productions generally take place directly through the internet in a Point-to-Point Communications Session outside of Tempodeantena.com’ direct control.

4. "Productions" refers to the works or content that You and/or Your Chathost Representative produce, directly or indirectly, through Your use of the Interactive Computer Services offered by Tempodeantena.com during Point-to-Point Communication Sessions, including without limitation all real-time or archived images, video chat sessions, motion pictures, video, audio and text and materials derived from the same.

5. "Video Chathost" refers to Your function as a content provider or producer via Tempodeantena.com’ Interactive Computer Service, including without limitation Your activities in video chat sessions

A.Tempodeantena.com agrees to the following

1. As a distributor of the Productions, Tempodeantena.com agrees to provide Video Chathost support services.

2. If a dispute arises between You and a user about a charge to the users’ credit card, Tempodeantena.com will co-operate fully with the user’s credit card company and will abide by whatever decision or recommendation the credit card company or bank issues. Tempodeantena.com may freeze or hold the amount in dispute until the subject of the amount in controversy is resolved.

3. The relationship between Tempodeantena.com and the Video Chathost is limited exclusively to Tempodeantena.com’ support services, as expressly stated herein. Tempodeantena.com has no authority to bind or represent You, as it relates to third party matters, in any respect.

4. Tempodeantena.com grants You a non-exclusive, non-transferable, royalty-free, and worldwide license, to use and display Tempo de Antena, Ltd’s trademarks and/or service marks, “Tempodeantena.com” , “Tempodeantena.pt” and "Tempo de Antena" for the sole purpose of advertising and promoting the Productions You create on the Tempodeantena.com Interactive Computer Service.

B.Chathost agrees to the following

1. Video Chathost and/or Chathost Representative shall be solely and exclusively responsible for all of the content of the Productions.

2. Video Chathost ensures Tempodeantena.com that the content in his or her Productions complies with the laws and regulations applicable in (i) Video Chathost’s country of origin, (ii) Video Chathost’s local community, and (iii) Portugal (EU), and (iii) duly registered, and re-registered as required from time to time, as Video Chathosts with Tempodeantena.com.

3. All visible participants in Your Productions shall be consenting adults who are (i) at least 18 years of age, (ii) of legal majority age in Video Chathost’s jurisdiction and in Portugal (EU), and (iii) duly registered, and re-registered as required from time to time, as Video Chathosts with Tempodeantena.com.

4. Intellectual Property Rights.

4.1 Video Chathost hereby warrants and agrees that Video Chathost possesses all intellectual property rights, interests, and licenses necessary to engage in this agreement. You may not post, distribute, or reproduce in the Productions, any copyrighted material, trademarks, service marks, or other proprietary information of third parties without obtaining the prior written consent of the owner of such proprietary rights.

4.2 Video Chathost transfers to Tempodeantena.com full license to use any and all copyrights, trademarks, service marks, trade secrets, and all other proprietary rights in and to the Productions, or any portion thereof, via an unlimited, perpetual, worldwide, royalty-free, irrevocable, sub-licensable, transferable, exclusive license to Tempodeantena.com. With the rights granted herein, Tempodeantena.com may, without limitation, use, distribute, reproduce, display, perform, publish, modify, adapt, translate, transmit, market, import, export, promote and/or create derivative works of the Productions in any medium or technology whatsoever, now known or to be developed in the future. You further agree that Tempodeantena.com shall be the sole owner and holder of all copyrights and all other proprietary rights in and to any and all derivative works created from the Productions.

4.3 Video Chathost agrees that (i) Your designated Tempodeantena.com’ screen name(s), which either You and/or Your Chathost Representative are expressly authorized by Tempodeantena.com to use, is the intellectual property of Tempodeantena.com, (ii) except as expressly stated in section 4.4 below, You shall not use the screen name(s) on any internet service deemed by Tempodeantena.com, in its sole discretion, as competitive to Tempodeantena.com, (iii) in the event Your relationship with Tempodeantena.com and/or Your Chathost Representative is terminated for any reason, You agree not to use the screen name(s), in any manner whatsoever, (iv) Your rights of publicity and privacy are not infringed by the content and/or Productions that You produce on the Interactive Computer Services provided by Tempodeantena.com, (v) You are voluntarily using the Interactive Computer Services provided by Tempodeantena.com, and (vi) You are hereby waiving any and all moral rights You may have in the Productions.

4.4 For the sole purpose of legitimately promoting Tempodeantena.com, Tempodeantena.com hereby grants Video Chathost a non-exclusive, non-transferable, royalty-free, worldwide sublicense to use Your designated Tempodeantena.com’ screen name(s) and the Productions. Outside of the limited sublicense rights expressly granted above, Your designated Tempodeantena.com’ screen name(s) and/or the Productions shall not be used by You for any commercial purpose, without the prior written consent of Tempodeantena.com. At all times, You agree not to use the Productions and/or Your designated screen name(s) for any unlawful purposes.

5. Video Chathost may not use any facilities of Tempodeantena.com to promote or solicit any URL or internet service, other than Tempodeantena.com, that provides services or features that are competitive to Tempodeantena.com. Video Chathost shall not contact or communicate with any Tempodeantena.com user for the purpose of circumventing the Tempodeantena.com Interactive Computer Service, including but not limited to, the solicitation or encouragement of the user to leave Tempodeantena.com and/or to purchase, consume or subscribe to Video Chathost’s and/or Chathost Representative’s content through computer services which are competitive to Tempodeantena.com (user theft).

6. Indemnity and Limitation of Liability:

6.1 Video Chathost shall indemnify and hold harmless Tempo de Antena, Ltd, its officers, directors, employees, and consultants against any and all expenses and losses (including reasonable attorneys fees and costs) directly or indirectly incurred by Tempo de Antena, Ltd in connection with any claims of any kind arising from the breach of any terms, conditions, warranties or representations made by You in this agreement, including but not limited to, any intellectual property disputes and/or other disputes or actions that may result from Video Chathost’s Productions or the subject matter governed by this agreement.

6.2 IN NO EVENT WILL TEMPO DE ANTENA, Ltd BE LIABLE TO YOU AND/OR ANY PERSONS WHO APPEAR IN YOUR PRODUCTIONS, FOR LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF DATA, INTERRUPTION OF BUSINESS, COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES, OR FOR ANY SPECIAL CONSEQUENTIAL, EXEMPLARY OR INCIDENTAL DAMAGES, ARISING OUT OF OR RELATED TO THIS AGREEMENT, HOWEVER CAUSED, AND WHETHER ARISING UNDER CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER THEORY OF LIABILITY. THE LIMITS SET FORTH IN THIS SECTION WILL APPLY EVEN IF THE VIDEO CHATHOST OR OTHER PERSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 IN THE EVENT TEMPO DE ANTENA, Ltd IS HELD LIABLE TO YOU, OR ANY OTHER PERSON, IN ANY WAY, TEMPO DE ANTENA, Ltd’S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AGGREGATE AMOUNTS ACTUALLY PAID TO TEMPO DE ANTENA, Ltd BY TEMPODEANTENA.COM’ USERS FOR THE PRODUCTIONS YOU DISTRIBUTE THROUGH TEMPODEANTENA.COM.

7. Adherence to Internet Self-Regulation and “Netiquette” (Prohibition of SPAM, UCE and other abusive practices): Tempodeantena.com, Video Chathosts, and Tempodeantena.com users strive to maintain excellent reputations as good internet “citizens”. To preserve that reputation and good will, Tempodeantena.com strictly enforces a ZERO-TOLERANCE anti-spam policy. If You engage in SPAM or other abusive activities in an attempt to drive internet traffic to or advertise the Productions or any area of the Tempodeantena.com Interactive Computer Service, this agreement and Your relationship with Tempodeantena.com will be terminated. Use SPAM, and You will be terminated from the Tempodeantena.com Interactive Computer Service. Period. (No explanations accepted.) Proper netiquette also includes common good manners and professional courtesy toward others. You accordingly agree to refrain from issuing disparaging, libellous, slanderous, defamatory, false, or otherwise inflammatory and/or negative statements concerning fellow video chathosts, chathost representatives, Tempodeantena.com’ users, Tempodeantena.com, or the Interactive Computer Services provided to You under this agreement. (Simply stated, You are expected to maintain a professional demeanour at all times.)

8. NO CRIMINAL BACKGROUND: You represent and warrant that You do not have a criminal history consisting of investigation, arrest or conviction by government agencies for felony or other serious crimes.

9. Video Chathost/Tempodeantena.com Relationship:

9.1 For tax and all other purposes, Your relationship with Tempodeantena.com is not that of employee/employer, through a common-law employee/employer relationship or actual employee/employer relationship. You are not entitled to receive any benefits available to an employee of Tempo de Antena, Ltd.

9.2 VIDEO CHATHOST HEREBY AGREES THAT VIDEO CHATHOST AND/OR CHATHOST REPRESENTATIVE IS THE SELLER OF ALL GOODS AND SERVICES SOLD THROUGH TEMPODEANTENA.COM AND/OR ANY TEMPO DE ANTENA, Ltd INTERACTIVE COMPUTER SERVICE, AND THAT VIDEO CHATHOST OR CHATHOST REPRESENTATIVE SHALL BE SOLELY RESPONSIBLE FOR ANY AND ALL TAXES ASSOCIATED WITH THE REVENUE RECEIVED FROM THE SALE OF GOODS AND SERVICES THAT ARE GENERATED THROUGH TEMPODEANTENA.COM AND/OR ANY TEMPO DE ANTENA, Ltd INTERACTIVE COMPUTER SERVICE. TEMPODEANTENA.COM IS NOT RESPONSIBLE FOR, AND WILL NOT PAY ANY TAXES FOR THE GOODS OR SERVICES PROVIDED BY YOU OR YOUR CHATHOST REPRESENTATIVE, INCLUDING WITHOUT LIMITATION, FEDERAL OR STATE TAXES, INCOME WITHHOLDING TAXES, SOCIAL SECURITY TAXES, UNEMPLOYMENT TAXES, DISABILITY TAXES AND/OR TAXES LEVIED BY FOREIGN COUNTRIES, INCLUDING BUT NOT LIMITED TO INCOME AND VALUE ADDED TAXES (VAT).

9.3 Video Chathost hereby agrees that You, and/or Your Chathost Representative, retain complete control of the content of the Productions. Tempodeantena.com does not maintain or impose a schedule nor otherwise require You to work set shifts, and there is no minimum usage requirement whatsoever. You will furnish, at Your own, or at Your Chathost Representative’s, expense all property, space, computers, computer equipment, furniture, materials, etc., used in the course of the Productions.

10. Video Chathost hereby agrees to and expressly consents to Tempodeantena.com’ exercise of Tempodeantena.com’ right, in the ordinary course of its business as the provider of an Interactive Computer Service and as a necessary incident to the rendition of services or protection of its rights or property (including without limitation ordinary technical support and operational functions), access, monitor and/or record Video Chathost’s video chat sessions and/or the Productions to ensure compliance with Tempodeantena.com’ and/or Tempo de Antena, Ltd’ policies and/or the laws and regulations of (i) Video Chathost’s country of origin, (ii) Video Chathost’s local community, and (iii) Portugal(EU)

11. Your rights and obligations, as stated in this agreement, shall not be assigned or transferred to any other person or entity; any such assignment or transfer is void. You are solely responsible for all data, information and content created via use of, and/or provided in order to obtain the rights to, the screen names licensed in this agreement. You must promptly inform Tempodeantena.com, in writing, of any apparent or actual breach of security, such as loss, theft, or unauthorized disclosure or use of a screen name, username or password. You further agree to provide Tempodeantena.com with any and all updated information related to You and/or Your Chathost Representative.

12. Video Chathost hereby agrees that, consistent with Tempodeantena.com' policy, a key component of being a customer-committed video chathost is providing users who pay to access Your Productions complete and undivided attention during Your real-time Productions.

C- General Terms

1. Video Chathost, and/or Chathost Representative, is solely responsible for the Productions, including without limitation the content thereof. You acknowledge and agree that Tempodeantena.com may, in its sole discretion, delete and/or modify any aspect of the Productions, including without limitation, content, messages, photos or profiles, that, in Tempodeantena.com’ sole discretion, violate the terms of our agreements with You, violate the terms of our agreements with Your Chathost Representative, that violate Tempodeantena.com’ policies, that may be offensive and/or illegal, or that may harm or threaten the safety and welfare of Tempodeantena.com and/or Tempodeantena.com’ users. Tempodeantena.com is not, however, obligated to take any action and is not responsible for the content of, or for any failure or delay in deleting and/or modifying the Productions.

2. Either party to this agreement may terminate this relationship with the other party, with not less than 24 hours advance notice, subject to the fulfilment of any outstanding liabilities and/or remaining obligations to the other party. Without limiting any other remedies that Tempodeantena.com may have, in the event of a material breach of this agreement, including without limitation, violation of the SPAM and UCE policies, Tempodeantena.com reserves the right to suspend Your account immediately pending 24-hour notification of termination.

3. VIDEO CHATHOST AGREES AND UNDERSTANDS THAT THE INTERACTIVE COMPUTER SERVICES ARE PROVIDED BY TEMPODEANTENA.COM ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OR GUARANTEES OF ANY KIND WHATSOEVER, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE, NON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES OR GUARANTEES OF PROFITABILITY OR CUSTOMER USAGE. NO ADVICE OR INFORMATION GIVEN BY TEMPODEANTENA.COM, ITS AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, EMPLOYEES, CONTRACTORS, OR OTHER REPRESENTATIVES SHALL CREATE A WARRANTY OR GUARANTEE OF ANY KIND WHATSOEVER.

4. Video Chathost recognizes that this agreement and all agreements incorporated by reference herein may have changes from time to time, via print, electronic, e-mail, link to web page, click through agreement, or any other media or method Tempodeantena.com chooses. For any and all notice requirements stated in this agreement, email notice is valid written notice. Notwithstanding anything to the contrary in this agreement, Tempodeantena.com’ act of posting these changes online or e-mailing them to You or Your Chathost Representative, and YOUR, OR YOUR CHATHOST REPRESENTATIVE’S, CONTINUED USE OF THE TEMPODEANTENA.com INTERACTIVE COMPUTER SERVICE, AND/OR YOUR ACT, OR YOUR CHATHOST REPRESENTATIVE’S ACT, OF CASHING OR DEPOSITING THE USER REVENUE CHECKS SENT BY TEMPODEANTENA.com, IS YOUR WAY OF MANIFESTING ACCEPTANCE TO THE TERMS OF THIS AGREEMENT AND/OR ANY SUCH TEMPODEANTENA.COM MODIFICATION TO THIS AGREEMENT.

5. Should any provision of this agreement be found by an arbitration panel or a court of law to be void, invalid or unenforceable under any applicable law or equity, such a finding shall not affect the remainder of this agreement, in part or in whole, that can still be given effect without the void, invalid or unenforceable provision; to that end, the provisions of this agreement are severable.

6. This agreement, including the Age Release Form and those portions of the policies stated on the Tempodeantena.com’ Interactive Computer Service and expressly incorporated by reference herein, constitute the entire agreement between the Video Chathost and Tempodeantena.com relating to the subject matter of the agreement and shall supersede any prior agreements between Tempodeantena.com and Video Chathost related to the subject matters herein. Both parties further agree that, should any policy or statement appear on Tempodeantena.com and/or any other Interactive Computer Service owned by Tempo de Antena, Ltd, which contradict the terms stated in this agreement, the terms of this agreement shall prevail.

7. This agreement has been made in, and shall be construed and enforced in accordance with, the laws of Portugal (EU). In the event Video Chathost and/or Chathost Representative is not personally subject to such jurisdiction, then Video Chathost and/or Chathost Representative hereby agrees that the laws of Portugal(EU) shall apply in any jurisdiction in which Video Chathost or Chathost Representative is subject to suit. To the greatest extent permissible by law, any controversy or claim arising out of or relating to this agreement, or the breach thereof, will be settled by arbitration in "Tribunal da Comarca de Loures - Portugal", in accordance with the Commercial Arbitration Rules of the Portuguese(EU) Arbitration Association then in effect (the “Rules”), including without limitation any bar under the Rules to class-action proceedings, and the provisions of this agreement.

D - Important Information for ADULTS-ONLY Chathosts

1.OBSCENITY and HARDCORE PORNOGRAPHY is FORBIDDEN: In Portugal (EU), the following acts are generally considered obscene (even when not before a public audience) and therefore may be illegal: Bestiality, excretory functions & bodily fluids including urination/defecation, etc. (golden/brown showers and enemas, etc.), fisting (all five knuckles penetrate), incest, extreme sado-masochism or bondage presented in a sexual context (depictions of rape, torture, etc.), any presentation of minors engaged in intimate physical contact or sexual situations, actual or depicted, and any conduct which may be judged “obscene” by the standards of Your local community, or the community of those with whom You interact and to which You transmit and/or distribute Your Productions. (To report misconduct, please file a report with the Sheriff’s Office.) Nude performances before a local public audience while using Tempodeantena.com, such as nudity presented in Your bedroom window which is visible to Your neighbours or passers-by, is also strictly forbidden. Any Video Chathost found to have produced content, or engaged in conduct, classified under the above categories, or who has otherwise produced obscene or illegal content under Portuguese law or local law faces immediate cancellation and forfeiture of all revenues or credits, and permanent termination from the Tempodeantena.com Interactive Computer Service. This is a ZERO TOLERANCE policy.

2.ADVISORY FOR US CITIZENS: The United States Supreme Court, under current applicable law, has geared the determination of obscenity to “local community standards”. This means that what is considered obscene in some communities may not be considered obscene in others. Therefore, should Your use of Tempodeantena.com’ Interactive Computer Services involve the production of erotic adult content or conduct, we strongly advise that You consult a local attorney who can advise You on whether Your Productions might constitute obscene publication under Your local community standards. One good rule of thumb: Never engage in conduct more extreme or explicit than what is openly available in Your local community, I.e. consider the conduct depicted in men’s magazines purchased from everyday convenience stores or chain book stores, or the conduct depicted in “adults-only” videotape sections of nearby video-rental stores or videos available for purchase/rental in chain stores.

3.EROTIC COMMUNICATIONS DISCLAIMER: All Video Chathosts, including those Video Chathosts who intend to produce erotic or nude Productions, must first file an Age-Release Form with Tempodeantena.com, and must meet all the documentation requirements established by Tempodeantena.com, in Tempodeantena.com’ sole discretion, at any time throughout the term of this agreement.

4.THE Tempodeantena.com ADULT OATH: I recognize that Tempodeantena.com is a responsibly-operated, law-abiding Interactive Computer Service and I support and agree with its principles. Therefore, in producing any mature-theme content via the Tempodeantena.com Interactive Computer Service, I swear that:

4.1. I am at least 18 years of age, anyone appearing in my Productions is also at least 18 years of age, and I, and all such person(s), have supplied Tempodeantena.com with the required age documentation materials, as required by law.

4.2. I will not produce any prohibited or unlawful content, as described in this agreement or elsewhere on the Tempodeantena.com Interactive Computer Service.

4.3. I will not produce any prohibited or unlawful content, according to the standards of my local community. (Tempodeantena.com recommends that You consult with an attorney familiar with Your local community standards).

4.4. I will produce only nude or erotic content that is portrayed in a normal, healthy, positive, non-violent, and consensual manner, and relates only to normal, healthy sexual desires.

4.5. I will not produce nude or erotic content that is portrayed in an unhealthy, violent, painful, non-consensual, morbid, shameful, sick, degrading, prurient or patently offensive manner, or which does not otherwise relate to normal, healthy sexual desires.

4.6. I will only produce and/or engage in conduct that I enjoy and find fulfilling; I will not produce and/or engage in conduct that I do not enjoy or do not find fulfilling.

4.7. I recognize that I am solely in control of my Productions. I am under no obligation to satisfy requests made of me by users to my Tempodeantena.com videochat room or others on the Tempodeantena.com Interactive Computer Service. I am acting under my own volition and without coercion, and I recognize that Tempodeantena.com has created software tools for me to use, at my discretion, so that I can block users to my videochat room who make me feel uncomfortable, and that I am able to reject any user request that I am uncomfortable complying with.

4.8. I will not use the Tempodeantena.com Interactive Computer Service as a means to promote any direct physical contact with any Tempodeantena.com user for the purposes of prostitution, escorting, or related activities.

4.9. While using the Tempodeantena.com Interactive Computer Service, I will not engage in physical intimacy with any other adult unless I am already involved in a pre-existing intimate relationship with that adult.

4.10. I understand that if I violate this Tempodeantena.com Adult Oath, Tempodeantena.com may terminate my account and I may forfeit any revenues that I have generated as a result of the goods or services that I have offered via the Interactive Computer Service.

4.11. I understand that I can help keep the Tempodeantena.com Interactive Computer Service clean by reporting any misconduct I observe, including violations of this Tempodeantena.com Adult Oath, to the Tempodeantena.com Sheriff’s Office 

E - REVENUE SOURCES FOR CHATHOST

1. User Proceeds: 50% of net revenues collected from users who pay to access Your Tempodeantena.com’ Productions (payouts weekly).

2.The payment will occur 2 (two) time per month, between each 1^st and 7^st and 16^th  and 22^st  day of each month and it will report to the last fortnight.There is a minimum payout amount per period that is fixed at 100 Euros.If you haven´t reached at least 100 Euros in a given fortnight period, that amount will be carried to the next payment period

3.Payments are made by check, Western Union, Direct Bank Transfer  or Epassporte

4.Payments to foreign countries (outside Portugal, EU) have expenses that are deducted to the total monthy transferred ammount.

5.Foreign Countries (outside Portugal, EU) Checks, Western Unions and Bank transfers expenses are detailed and continuously updated in the Chathost registration form.

F – Studio / Agent protection agreement

1. Tempo de Antena, Lda empowers a commercial protection politic to all its studios and partners and does not authorize direct contracts for any chathost, that has in the past worked for Tempodeantena.com videochat, on behalf of any studio without written consent.

2. For any chathost that has in the past worked for Tempodeantena.com videochat sites, on behalf of any studio or agent, Tempo de Antena, Lda needs to have an email release statement from the studio, whereas is fully clear that the studio authorizes direct registration from that particular chathost.

3. The previous numbers F.1) and F.2) are retroactive, it means that if Tempo de Antena detects any registered chathost, that has in the past worked for Tempo de Antena videochat sites on behalf of a Studio,  broadcasting without consent from that studio, Tempo de Antena “may suspend at its own will” the chathost account without prior notice, until Tempo de Antena gets an authorization letter/email as stated on F.2)

4. The F – Studio / Agent protection agreement is an express commitment from Tempo de Antena, Ltd, in order to protect the commercial efforts from studios operators, but it is clearly stated and agreeded that Tempo de Antena, Ltd, may change/resign/cancel this policy at anytime, providing the Studios are notified at least with 15 days prior email notice.
